Mainvest Referral Program Terms and Conditions

The Mainvest Referral Programs allows Verified Users that have completed the set up of their Mainvest accounts by linking an external bank account to their Mainvest account to earn promotional Investment Credits toward a future investment on Mainvest and/or Referral Fees by referring Verified Users and/or Qualified Businesses to Mainvest.

These Referral Program Terms and Conditions (the “Referral Program Terms”) constitute a legal agreement between you, as the user of Mainvest.com (the “Site”), and Mainvest, Inc., the owner of the Site. Throughout these Referral Program Terms, we will refer to the Verified User participating in the Referral Program as “you”, and we will refer to Mainvest, Inc. as “we”, “us”, or “Mainvest”. Your participation in the Referral Program is subject to these Referral Program Terms, as well as our Terms of Service which are hereby fully incorporated by reference.

The following Definitions apply to the Mainvest Referral Program:

“Referral Program” means a program that Mainvest may from time to time offer which allows Verified Users to receive an Investment Credit or Referral fee for referring to business or individuals to the Site.

“Verified User” means a User of the Site who has successfully linked an external bank account to their Mainvest account.

“Referring User” means a Verified User who has sent a Referred User a Referral Link.

“Referred User” means a user who has received a Referral Link from a Referring User and created a Mainvest account.

“Referral Fee” means a dollar or Investment Credit amount determined by Mainvest from time to time that can be received for referring a Qualified Business to the Site.

“Investment Credit” means a promotional credit in an amount determined by Mainvest from time to time that can be applied to investment opportunities on the Site as also defined in the Mainvest Terms of Service.

“Qualified Business” is a business that (1) creates a new Mainvest account with the intent to issue securities through the Site; (2) informs a Mainvest representative in writing that they were referred to the Site by a Verified User and identifies such Verified User in writing; (3) completes all necessary documentation and paperwork to perform a securities offering through the Site; (4) files a valid and effective Form C with the U.S. Securities & Exchange Commission to engage in a securities offering through the Site with MainVest as the intermediary; and (5) begins accepting investment commitments on the Site.

Investor Referral Program

Invite Friends and Earn Investment Credits

From time to time, we may offer Referral Programs for Verified Users who referred prospective investors to the Site (the “Investor Referral Program”). Investor Referral Programs will allow a Verified User to use a referral link to invite a person to become a User of the Site. If the Referred User utilizes the link sent by the Referring User, and successfully links an external bank account to their account on the Site, the Referring User will receive an Investment Credit consistent with the amount stated by Mainvest at the time the Referring User utilized the referral link.

Your Referred Friends Earn Investment Credits Too

Referred Users that sign up using a valid referral link and become a Verified User will also receive an Investment Credit. A Referred User may only use one referral link. If a Referred User receives multiple referral links from Referring Users, only one will be applied based on which link the Referred User used to create a Mainvest account.

How to Redeem Investment Credits

Investment Credits may only be redeemed on our Site. Investment Credits will automatically appear on your account dashboard. Investment Credits may not be retroactively applied to investments previously made on the Site. Your existing investments or commitments will not be affected in any way. If you do not use your Investment Credits within three years from the date you receive them, the Investment Credits will expire. Investment Credits are coupons issued for promotional purposes only. Investment Credits have no cash value. You cannot transfer Investment Credits to another person or exchange Investment Credits for cash.

If you have any questions about the Referral Program or believe that there is a discrepancy regarding your Investment Credits, please contact us by email at support@mainvest.com. We may ask you to submit more information in order to determine the appropriate balance of Investment Credits in your account. All decisions regarding your balance of Investment Credits will be at our sole discretion and final.

Exceptions

The Investor Referral Program is intended to encourage you to refer genuinely new investors to our Site. We reserve the right to suspend your account or deny Investment Credits at any time and for any reason. We may refuse to award Investment Credits to persons directly connected to you, including to your immediate family members, a company you control, or other relationships where we believe that payment of Investment Credits would not be consistent with the purpose of the Investor Referral Program. We also reserve the right to refuse to award Investment Credits where we believe you may have abused the Investor Referral Program. This may include posting your referral link in any public place, such as an internet forum or community, or distributing your referral code on the communication channels of our Site.

Business Referral Program

Earn a Referral Fee for Qualified Business you refer to Mainvest

From time to time, we may offer Referral Programs for Verified Users who referred one or more to the Site (the “Business Referral Program”). Business Referral Programs will allow a Verified User who invites a Qualified Business the Site. If the Qualified Business has (1) identified in writing the Verified User who referred them to the site and (2) filed a valid and effective Form C with the U.S. Securities & Exchange Commission and begins accepting investment commitments through the Site, Mainvest will grant a Referral Fee in amount as previously determined by Mainvest through a promotional offering to the Verified User identified to Mainvest by the Qualified Business. Each Verified User may receive no more than one (1) referral fee per separate promotion unless otherwise stated in writing or agreed upon in writing.

The Referral Fee is earned when the eligible offering goes live on the Site. The Referral Fee is not conditioned on the offering successfully raising the Target Amount. In other words, if you have earned a Referral Fee, then you will be paid even if the offering fails to raise the Target Amount.

Verified Users may earn a Referral Fee for each Qualified Business that satisfies these Referral Program Terms, however, only one Verified User may earn a Referral Fee for any individual Qualified Business. If a Qualified Business is referred by more than one Verified User, we will grant a Referral Fee only once. In such a situation, we will grant a Referral Fee to the Verified User identified by the Qualified Business to a Mainvest representative.

How to Redeem a Referral Fee

Verified Users that have earned a Referral Fee in connection to the Business Referral Program in accordance with these Referral Program Terms will be paid by ACH transfer to an external bank account linked to the Site, or by the provision of an Investment Credit to the Verified Users account. The Referral Fee will not be paid in any other manner, such as by cash or check.

Your existing investments or commitments will not be affected in any way. If you do not claim your Referral Fee within one year from the date such Referral Fee was earned, any rights you may have to a Referral Fee will expire. You cannot transfer or assign a Referral Fee to another person.

We reserve the right to suspend your account or deny Referral Fees at any time and for any reason. We may refuse to award a Referral Fee to persons directly connected to you, including to your immediate family members, a company you control, or other relationships where we believe that payment of a Referral Fee would not be consistent with the purpose of the Business Referral Program. We also reserve the right to refuse to award a Referral Fee where we believe you may have abused the Business Referral Program. This may include discussing or posting about this Business Referral Program in any public place, such as an internet forum or community, or soliciting persons to refer with whom you do not have an existing relationship.

Additional Terms & Conditions

Severability

In the event that any provision of the Referral Program Terms is held to be invalid or otherwise unenforceable, that provision shall be deemed severed from the Referral Program Terms and shall not affect the validity and enforceability of the remaining provisions.

Changes to the Referral Program Terms

Mainvest may change the Referral Program Terms at any time without prior notice. We will post any changes to the Referral Program Terms on our website. Any changes we make will be effective immediately upon posting. If you continue to participate in the Referral Program, you consent to any changes we may make in the future

If you have any questions about the Referral Program or believe that there is a discrepancy regarding a Referral Fee or Investment Credit, please contact us by email at support@mainvest.com. We may ask you to submit more information in order to determine the appropriate balance of Referral Fees or Investment Credits for your account. All decisions regarding your balance of Referral Fees or Investment Credits will be at our sole discretion and final.

You are responsible for any tax consequences that may result from your use of the Referral Programs.
